1. Acceptance of Terms

Welcome to POEM Health ("POEM," "we," "us," "our," or "the Service"), operated by One World One Health LLC, a Pennsylvania limited liability company. These Terms of Service ("Terms") govern your access to and use of the POEM website, mobile application, and related services (collectively, the "Service").

By accessing or using POEM, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service. Your continued use of POEM constitutes your acceptance of these Terms and any modifications we make from time to time.

2. Account Registration and Eligibility

You agree to accept responsibility for all activities that occur under your account, whether or not you authorized them. POEM offers a free tier that allows users to access basic health education and navigation features. Free tier benefits include:

4. Premium Subscription

4.1 Premium Features

POEM Premium is available for USD $9.99 per month and includes:

When you initiate a premium subscription, you authorize One World One Health LLC to charge your selected payment method the subscription fee on a monthly recurring basis. Your first charge will occur immediately upon confirmation of your subscription.

5. Billing and Payment

5.1 Payment Processing

POEM uses Stripe to process all subscription payments. By providing payment information, you agree to:

Your premium subscription is billed monthly on the same day each month (the "Billing Date"). If your Billing Date falls on a day that does not exist in a given month (e.g., the 31st), billing will occur on the last day of that month.

5.3 Automatic Renewal

Your premium subscription automatically renews at the end of each billing cycle unless you cancel your subscription before the next Billing Date. You acknowledge that you are responsible for canceling your subscription to avoid further charges.

5.4 Failed Payments

If your payment method is declined, we will attempt to process your payment again using the payment method on file. If payment ultimately fails, we may suspend your premium features until a successful payment is received. Repeated payment failures may result in account suspension or termination.

5.5 Taxes

You are responsible for all applicable taxes related to your use of the Service. Where required by law, we will collect and remit sales tax or value-added tax on your behalf.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your premium subscription at any time by accessing your account settings or by contacting support@poem.health. Cancellation will take effect at the end of your current billing cycle, and you will retain access to premium features until the end of that cycle.

6.2 No Refunds

Charges are non-refundable. We do not provide refunds or credits for partial months or unused portions of a subscription. In the event of a billing error, we will work with you to correct the issue prospectively.

6.3 Data Retention Upon Cancellation

If you cancel your premium subscription, your cloud-synced conversation history will be deleted after 90 days. If you reactivate your premium subscription within this 90-day period, your data may be restored at our discretion. Upon account termination, all user data will be deleted in accordance with our Privacy Policy.

7. Critical: AI Health Disclaimer

IMPORTANT: NOT MEDICAL ADVICE OR DIAGNOSIS

POEM is NOT a medical device, does NOT provide medical advice, and does NOT provide medical diagnosis. POEM cannot and should not replace the physician-patient relationship or professional medical care.

POEM is an educational and navigational tool designed to help users learn about health topics and navigate health information resources. Any information, guidance, or content provided by POEM is for informational and educational purposes only.

7.1 Educational Purpose Only

POEM uses artificial intelligence powered by Anthropic's Claude language models to provide health education and navigation assistance. The AI generates responses based on publicly available health information and machine learning patterns, not medical expertise or individualized patient assessment.

Use of POEM does not create a healthcare provider-patient relationship between you and One World One Health LLC, its employees, or the AI system. You do not have a legal right to medical care or advice from us.

9. Privacy and Data Storage

10. Intellectual Property Rights

10.1 POEM Ownership

All content, features, and functionality of POEM, including but not limited to the software, design, graphics, logos, and text, are owned by or licensed to One World One Health LLC and are protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use POEM for your personal, non-commercial use only. You may not:

Your conversations and input to POEM ("User Content") are your own. However, by using POEM, you grant One World One Health LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute your User Content for the purposes of operating, improving, and developing POEM and related services. POEM is not validated for clinical decision-making or medical research. You may not cite, publish, or present POEM outputs as medical evidence, clinical guidance, or peer-reviewed content without explicit written permission from One World One Health LLC. Any such use may expose you to liability.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE WORLD ONE HEALTH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

POEM IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

To the maximum extent permitted by law, our total liability to you for any and all claims arising out of your use of POEM shall not exceed the total amount you have paid to One World One Health LLC in the 12 months preceding the claim. If you have not paid any fees, our liability is limited to $1.00.

11.3 Health Disclaimer Liability Limitation

One World One Health LLC assumes no liability for any health outcome, adverse event, medical error, misdiagnosis, delayed diagnosis, or decision made based on information obtained through POEM. This limitation applies even if we have been advised of the possibility of such damages.

11.4 Third-Party Services

One World One Health LLC is not liable for any issues, damages, or losses arising from third-party services, including Anthropic's Claude AI, Stripe payment processing, or NextAuth.js authentication.

You agree to indemnify, defend, and hold harmless One World One Health LLC, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

You may terminate your account at any time by contacting support@poem.health. Upon termination, all your data will be deleted in accordance with Section 9.3.

We may suspend or terminate your account and access to POEM at any time, with or without cause, and with or without notice, if we determine that:

One World One Health LLC reserves the right to modify these Terms at any time. Material changes will be posted on our website with at least 30 days' notice. Your continued use of POEM after such notice constitutes your acceptance of the modified Terms. If you do not agree with modifications, you must discontinue use of POEM and terminate your account.

We may also modify, suspend, or discontinue POEM or any features at any time, with or without notice, and with no liability to you.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and your use of POEM are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.

15.2 Dispute Resolution

If you have a dispute with One World One Health LLC, you agree to first attempt to resolve the matter informally by contacting support@poem.health with a detailed description of the issue. We will work with you in good faith to resolve disputes.

15.3 Limitation on Claims

Any legal action or proceeding arising out of or relating to these Terms or POEM must be commenced within one (1) year after the cause of action arises, or it will be forever barred.
